By submitting this form, you, the Speaker, acknowledge and agree to the following terms and conditions, which constitute a legally binding agreement between you and Dear Black Woman Media, LLC (DBWM), including its subsidiaries and affiliates, such as Redd Ladys Chronicles.
This Agreement is made and entered into as of the date of acceptance (the “Effective Date”) by and between:
Dear Black Woman Media, LLC, a media and empowerment organization (“DBWM”), including its subsidiaries and affiliates, such as Redd Ladys Chronicles, and [Speaker/Facilitator Full Name], an individual (“Speaker”).
1. Engagement Terms
The Speaker acknowledges that any views or opinions expressed during their session are solely their own and do not reflect those of DBWM, Redd Ladys Chronicles, their subsidiaries, or vendors.
The Speaker agrees to present one or more workshops, panels, presentations, or other educational sessions (collectively, “Sessions”) as part of DBWM events, whether virtual, hybrid, or in-person, on dates and times determined by DBWM.
2. Deliverables (When Applicable)
The Speaker agrees to:
Submit the final presentation (PowerPoint, PDF, or other approved formats) one (1) week before the scheduled session.
Use the submitted version as the exact version presented during the live session.
Provide one (1) downloadable educational handout or resource, if requested.
Submit a current professional bio, a high-quality headshot, and a full-body photograph for use in marketing and promotional materials.
Disclose in writing if any portion of the presentation content, including text, images, or audio, was generated using artificial intelligence (AI), prior to submission.
Participate in one (1) tech check or run-through prior to the session, if requested.
Ensure a stable internet connection and functioning audio-visual equipment for virtual sessions.
Permit the session to be recorded and distributed as described in Section 3.
The Speaker is solely responsible for ensuring the accuracy of all content, data, quotes, and references in their presentation. DBWM is not liable for any inaccuracies.
3. Intellectual Property, Content Rights & Media Use
The Speaker retains ownership of original content they create. However, the Speaker grants DBWM an irrevocable, non-exclusive, worldwide, royalty-free license to:
Record, edit, reproduce, display, distribute, and sell the session content (video, audio, slides, handouts).
Use the Speaker’s image, name, voice, likeness, and any statements made during the session for promotional, educational, and marketing purposes across all platforms.
Publish content in current or future events, workshops, archives, online platforms, and DBWM Magazine and Blog.
Offer the recorded session as part of paid or free educational offerings to members and the public.
The Speaker warrants that all content they provide is original, properly licensed, free from any third-party claims, and has not been published elsewhere without proper permissions.
4. Confidentiality, Non-Disclosure & Non-Disparagement
The Speaker shall not disclose, share, or use any proprietary, confidential, or sensitive information, including participant information, business strategies, internal communications, or any information marked as confidential, obtained through their engagement with DBWM.
The Speaker agrees not to publicly or privately speak in a manner that would damage the reputation, integrity, or credibility of DBWM, its leadership, members, or affiliated programs.
5. Marketing & Promotions
The Speaker agrees that their name, bio, image, and session content may be used in DBWM promotions.
DBWM may create and publish a written article or summary based on the session for the Dear Black Woman Magazine or digital blog.
The Speaker will support reasonable co-promotion efforts (e.g., sharing digital flyers, links).
6. Compliance, Conduct & Privacy
The Speaker agrees to present material that is original, respectful, and aligned with the mission and values of DBWM.
The Speaker affirms that all content is original and/or properly licensed and will not include unapproved AI-generated content.
DBWM will collect, use, and protect the Speaker’s personal information in accordance with its Privacy Policy.
The Speaker agrees not to use their presentation as a platform for direct promotion or sale of products or services without prior written approval from DBWM.
The Speaker agrees to adhere to the event’s code of conduct, maintaining professionalism and respect for all attendees, speakers, and staff.
7. Indemnification & Liability Release
The Speaker agrees to indemnify, defend, and hold harmless DBWM, its affiliates, officers, agents, and members from any claims, damages, liabilities, costs, or expenses (including attorney’s fees) arising out of or related to (i) infringement of intellectual property, (ii) breach of this Agreement, or (iii) negligent or wrongful acts by the Speaker.
The Speaker acknowledges that DBWM, Redd Ladys Chronicles, their subsidiaries, and vendors are not responsible for any claims, liabilities, costs, or damages arising from the Speaker’s presentation or conduct.
8. Revocation for Misconduct
DBWM reserves the right to revoke the Speaker’s engagement and remove any promotional use of their content or likeness without liability if the Speaker engages in misconduct or public actions inconsistent with DBWM’s mission and values.
9. Cancellations & Modifications
If the Speaker must cancel, they must provide at least 7 days' written notice. DBWM reserves the right to reschedule, replace, or remove a Speaker for non-compliance. DBWM may also cancel or modify the event without liability if necessary.
10. Force Majeure
Neither party shall be liable for failure or delay in performance due to events beyond reasonable control, including but not limited to natural disasters, internet outages, or government actions.
11. Governing Law & Dispute Resolution
This Agreement shall be governed by the laws of the State of Georgia. Any disputes shall first be resolved through good faith negotiation. If unresolved, disputes will be submitted to binding arbitration in Atlanta, Georgia. The parties agree that arbitration is final and binding, and no further legal action shall be pursued in court.
12. Severability
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
13. Independent Contractor Status
This Agreement does not create an employment relationship. The Speaker is an independent contractor and is solely responsible for all applicable taxes, expenses, and liabilities.
14. Entire Agreement
This Agreement contains the entire understanding between the parties. Any amendments must be in writing and signed by both parties.
